We do have a vacancy with our potential client, a Semi Government Company is looking forward to recruit for the position of "Senior Procurement Counsel” in Abu Dhabi-Mussafah.
General Summary
This position has overall responsibility for the development of all contract standards, templates and clauses to be used in tendering processes and is the final Procurement authority on all matters of contractual content. The post-holder functions as an advisor for Senior Management in establishing objectives, standards and negotiating problem resolution related to contractual documents and tender documents. Whenever required the post holder helps to plan contract development strategy, interprets information for all contract content related activities during development, and conforming of documents throughout the bids and awards process in the best interests. Actively involved in contract administration of project related contracts and long term service contracts.
Expected to perform duties independently, but activities guided by corporate policies and procedures, with a significant degree of judgement required. Operates under the direction of the AVP. Makes independent decisions with work performance subject to general review
Essential Duties and Responsibilities (Key Accountabilities)

  • Provide strategic direction in contracts management and governance issues, keeping abreast of, and analyzing market trends and changes in, leading business practice
  • Develop the suite of standard contract templates, terms and conditions and clauses, updating and amending as is necessary
  • Establish overall goals and implements training for all Procurement staff relating to the implementation and use of Contractual documents and terms
  • Interpret requested changes in, or amendments to, standard terms and scopes of reference, assessing the inherent risk therein and making appropriate recommendations which protect the best interests of Company and ensuring all stakeholders' understanding thereof
  • Drafts agreements, develop and execute negotiation strategies relating to major contracts as required by the AVP
  • For major contracts, and where necessary, prepare all pre-negotiation documents, confidentiality agreements, secrecy undertakings and so on, as may be required. Negotiate with attorneys with the help of the Legal Advisor, finalize concepts, participating as necessary in negotiations with suppliers, and other third parties. Review/analyze/ scrutinize/draw up and help finalize emerging contracts/agreements for Executive Management approval. Analyze and act upon various legal issues/disputes arising and, where necessary initiate arbitration proceedings
  • With the help of the Legal Advisor draft and update negotiation protocol on commercial issues that include drafting guarantees and warranties. Alongwith the Legal Advisor negotiate with attorneys and vendors on contract terms and finalize commercial terms and conditions.
  • Liaise with technical and commercial staff and update formats for engineering and construction related contracts. Help negotiate, prepare and finalize project agreements. Review final drafts and attend to final executions.
  • Help in the prevention of claims, and where they occur, the management of the evaluation of such claims, preparation of arguments and recommendation of resolution. Participate in settlement negotiations and draft settlement agreements and also the close out of contracts as required
  • Assess, advise and manage all commercial issues relating to guarantees, limitations of liability and environmental issues
  • Oversee that the procurement contracts are in accord with the established procurement processes
  • Provide interpretation of contractual rights and obligations internally and externally by ensuring that due diligence is practised in complying with the stated terms and conditions
  • Draft, standardize and update terms and conditions of major tenders and bids. Along with the Legal Advisor resolve legal deviations from standard terms and conditions.
  • Explain to management any contract modifications arising from resolution of discrepancies.
  • Acts as the 'Projects Procurement Advisor', in particular for major projects
  • Analyze risk and devise and implement risk mitigation plans accordingly
  • Provide contract summaries whenever required.
  • Ensure knowledge of, and participation with, recognized external Procurement groups and bodies, at Procurement and Contract Administration conferences, events, seminars and networking to gain exposure to and acquire new ideas, methods and innovation in Procurement and contracts
