Specific Responsibilities:

This position is responsible for supporting the Legal Group in managing its day-to-day operations and special projects, which include, but would not be limited to: reviewing, negotiating, and drafting credit agreements, custody and securities lending agreements, and vendor agreements; providing timely legal advice and services in support of the Branch's Trust, Corporate Finance, and Treasury business groups and the Branch's other support areas; researching, analyzing, and drafting memoranda on applicable business, legal and regulatory issues including regulatory changes; assisting with corporate governance matters including the preparation of materials for various Branch committee meetings; and providing general legal support to implement internal process changes and improvements for all areas of the Branch.

Responsibilities in order of importance:
1. Provides legal analysis, research and advice in support of the Branch business divisions and support functions.
2. Reviews, negotiates, and drafts bilateral and syndicated credit agreements, vendor agreements, confidentiality agreements, custody agreements, securities lending agreements (e.g. MRAs, MSLAs, GMSLAs, GMRAs; ISDAs, tri-party collateral control agreements) and other documentation required by the business divisions.
3. Assists with corporate governance matters, including the preparation of materials for Branch committee meetings, including the Trust committee, Advisory committee and legacy Board meetings; drafts meeting minutes, agendas, resolutions, and other corporate goverance documents; maintains the legacy Board's corporate books and records.
4. Drafts legal correspondence, memoranda, contracts, template texts for standardized agreements, corporate resolutions and internal presentations on topics as needed.
6. Researches, analyzes, and provides legal and regulatory advice to the compliance, risk, operations and IT areas regarding new regulatory developments as needed.  Assists in the regulatory change management and regulatory reporting process.
7. Prepares, reviews, and supervises the preparation of regulatory filings and assists with regulatory examinations and inquiries as necessary.

EDUCATION: Juris Doctor (J.D.) degree from ABA accredited law school, and admission to, and in good standing with, the New York State Bar. 
  • Proficient in English with excellent written and verbal communication skills.
  •  4+ years of direct work experience at a major law firm or an in-house legal department of a bank or financial services company active in commercial lending, capital markets, institutional custody and securities lending., derivatives
  • Familiarity with the industry standard agreements for syndicated and bilateral credit agreements, ISDAs, securities lending and repurchase agreements, and bilateral and tri-party custody agreements.
  •  General corporate experience and excellent contract drafting and negotiation skills.
  • General knowledge expected of NY state, FRB, OCC and FDIC banking regulations and SEC securities regulation; knowledge of Dodd-Frank and Enhanced Prudential Standards is a plus.  Familiarity with New York contract law expected, and a general knowledge of federal insolvency law and the financial industry's concepts, market practices and standard procedures desirable.
